Sub-processors Policy

Mitsogo Inc.(“Mitsogo”) dba Hexnode uses certain sub-processors to assist it in providing the Hexnode services as described in the SaaS Agreement

Defined terms used herein shall have the same meaning as defined in the SaaS.

What are sub-processors and sub-contractors

A sub-processor is a third-party data processor engaged by Mitsogo who has or potentially will have access to or process Protected Data. Mitsogo engages in different types of sub-processors to perform various functions as explained below.

Due Diligence

Mitsogo undertakes to use a commercially reasonable selection process by which it evaluates the security, privacy and confidentiality practices of proposed sub-processors that will or may have access to or process Protected Data.

Contractual Safeguards

Mitsogo requires its sub-processors to satisfy equivalent obligations as those required from Mitsogo (as a Data Processor) as set forth in Mitsogo Data Processing Addendum (part of the SaaS), including but not limited to the following requirements:

  • "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
  • "Control," for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.
  • "Authorized Affiliate" means any of Customer's Affiliate (s) which (a) is subject to the data protection laws and regulations of the European Union, the European Economic Area and/or their member states, Switzerland and/or the United Kingdom, and (b) is permitted to use the Services pursuant to the Agreement between the Customer and the Processor, but has not signed its own Order Form with the Processor and is not a "Customer" as defined under the Agreement.
  • Customer” means the party who has entered into the Agreement opposite Hexnode.

This policy does not give Mitsogo Customers any additional rights or remedies and should not be construed as a binding agreement. The information herein is only provided to illustrate Mitsogo’s engagement process for sub-processors as well as to provide the actual list of third-party sub-processors used by Mitsogo as of the date of this policy and as may be amended and updated from time to time.

Appointing and changing sub-processes

Mitsogo will notify customers in advance (via email) and via this policy to the appointment of any new sub- processor or changes to any existing sub-processor. The customer may object to the appointment of or; any change in the sub-processor where it has reasonable grounds for doing so and in such circumstances, Mitsogo shall be entitled to address the objection through one of the following options at its sole discretion:

  • Cease to use the relevant sub-processor
  • Take steps suggested by the Customer to address the objection;
  • Cease to provide the particular Services which involves the relevant sub-processor.
